Terms and Conditions

The terms for buying and using Funnelforms.

This is a translation for information only. Only the German version is binding.

1. Scope

  1. These Terms apply to all contracts between Funnelforms LLC, 1021 E Lincolnway #9517, Cheyenne, WY 82001, USA ("Funnelforms"), and its
    customers for Funnelforms Pro, the free version Funnelforms Free, the Funnelforms account and the related services.
  2. Funnelforms only contracts with businesses, not with consumers. A business is anyone who acts in the exercise of
    their trade, business or profession when entering into the contract (Section 14 German Civil Code, BGB). By
    ordering, the customer confirms that it is a business.
  3. The customer's own terms only apply if Funnelforms agrees to them in writing.
  4. The partner programme is governed by the Partner Terms, and the processing of personal data on behalf of the
    customer by the Data Processing Agreement (DPA). Both are available on www.funnelforms.io.

2. Services

  1. Funnelforms Pro is a WordPress plugin that the customer uses to build forms and funnels on its own websites.
    The plugin runs on the customer's server. It stores form entries in the database of the customer's website, not
    with Funnelforms.
  2. For the term of a paid plan, the plan includes:
  3. use of Funnelforms Pro on as many websites as the plan states; test and staging environments do not count
    where the account recognises them as such;
  4. updates and new versions that Funnelforms releases for Funnelforms Pro;
  5. the Funnelforms account with plan, invoices and connected websites;
  6. the services that the plugin uses via Funnelforms, such as licence checks, updates, support tickets and, where
    offered, calendar connections;
  7. support by ticket and the Help Center.
  8. The scope of each plan is set out in the service description and on the pricing page at the time of the order.
  9. Funnelforms Free is free of charge and available on wordpress.org. These Terms only apply to Free where
    Funnelforms provides services for it, such as an account or help in support. There is no entitlement to updates,
    support or any particular feature for Free.
  10. Mobile apps, where Funnelforms offers them, are part of the plan. The terms of the relevant app store also apply to
    the download.
  11. Customisations for individual customers, setup and consulting are not included. They require a separate contract.
  12. Funnelforms develops the software further. Funnelforms may change or replace features if the agreed purpose is
    preserved and the change is reasonable for the customer. If an essential feature is removed, Funnelforms announces
    this at least 30 days in advance; the customer may then terminate with effect from the date of the change.
  13. AI features: Where the plan includes them, Funnelforms Pro offers features based on artificial intelligence,
    such as creating and changing forms from a description, analysing and forecasting forms (Predictive AI) and answers
    in self-help. Use is limited per plan. For this, the customer's instruction or question, the structure of the form
    and, for an analysis, the details of the target group are sent via Funnelforms to a provider of language models,
    currently Anthropic (USA), which acts as Funnelforms' processor. Form entries and visitor data are not transferred.
    Funnelforms does not store the instruction or the result. The customer does not enter personal data of third
    parties in instructions or in forms it has analysed. AI results are suggestions: the customer checks them before
    use, in particular texts and legal notices. Forecasts are estimates, not promised results.

3. Conclusion of contract, account and trial

  1. The contract is concluded when the customer orders a plan in the Funnelforms account and Funnelforms confirms the
    order. The presentation on the website is not yet an offer.
  2. To order, the customer creates an account. Sign-in uses a code that Funnelforms sends to the account's email
    address. The customer keeps access to this address secure and reports misuse without delay.
  3. New customers can try a plan free of charge for 14 days, once per account. At the start of the trial the customer
    adds a payment method; it is only charged after the trial. If the customer does not cancel before the trial ends,
    the trial converts into the selected plan and the first payment becomes due. Funnelforms sends a reminder by email
    no later than 3 days before the end.

4. Rights of use

  1. For the term, Funnelforms grants the customer the simple, non-transferable right to use Funnelforms Pro and the
    services within the scope of its plan for its own purposes and for websites of its clients. Passing on access,
    licence keys or connections to third parties and reselling them is not permitted unless Funnelforms agrees.
  2. Where the plugin's program code is licensed under the GNU General Public License (GPL), the rights under the GPL
    apply to it; these Terms do not restrict them. The contract then covers the account, connection, updates, services
    and support.
  3. Trademarks, logos and content of Funnelforms (templates, texts, images, Help Center) remain with Funnelforms. The
    customer may use and adapt templates in its forms.
  4. Funnelforms may block connections if an account is misused, in particular for more websites than agreed, passing
    on access or attacks on the services. Funnelforms informs the customer and lifts the block as soon as the reason no
    longer applies.

5. Prices and payment

  1. The prices at the time of the order apply. They are exclusive of VAT where VAT applies.
  2. Payment is made in advance for the billing period (monthly or yearly) via the payment service Stripe. Invoices are
    available in the account.
  3. If a payment fails, Stripe retries it and Funnelforms informs the customer. If the payment remains outstanding,
    Funnelforms may suspend updates and services after 14 days.
  4. Price changes only apply from the next billing period. Funnelforms announces them at least 30 days in advance. The
    customer may terminate before the new period begins.

6. Term and termination

  1. A plan runs for the selected billing period and renews for the same period unless the customer cancels.
  2. The customer may cancel at any time with effect from the end of the current billing period, in the account or in
    text form. Amounts already paid are not refunded pro rata.
  3. The right to terminate for good cause remains unaffected.
  4. After the plan ends, existing forms and entries on the customer's website continue to work. Updates, support and
    the Pro services end. Funnelforms deletes account data after the end of the contract in line with the periods in
    the privacy notice. The data on the customer's website stays with the customer.

7. Customer obligations

  1. The customer is responsible for the content of its forms and for the data it collects with them. In particular, it
    provides a privacy policy, obtains any required consent and advertises lawfully.
  2. It does not use Funnelforms for unlawful purposes, spam, phishing or attacks on third parties.
  3. It keeps WordPress, theme and plugins up to date and backs up its website and database regularly, especially before
    updates.
  4. It manages access data for third-party services (such as CRM, calendar, payment providers) that it stores in the
    plugin itself. The terms of those services apply to them.

8. Support and access to the website

  1. Support is provided by ticket in the plugin or in the account. Funnelforms responds within a reasonable time on
    working days.
  2. If support needs access to the customer's website, the customer grants it per ticket. Access lasts no longer than
    72 hours and ends earlier if the customer revokes it or the ticket is closed. The customer backs up its website
    before granting access.
  3. Where Funnelforms processes personal data on the customer's behalf in doing so, the DPA applies.

9. Availability

  1. Forms run on the customer's server and do not depend on the availability of Funnelforms' services.
  2. Funnelforms aims for high availability of the account, updates and services. Funnelforms announces maintenance in
    advance where possible. A specific availability is only owed if separately agreed.

10. Defects

  1. Funnelforms remedies defects in the software and the services within a reasonable time, at its choice by
    correction, update or a workaround that allows the agreed use.
  2. The customer reports defects by ticket with a description that allows them to be reproduced.
  3. Strict liability for defects that already existed when the contract was concluded (Section 536a (1) BGB) is
    excluded.

11. Liability

  1. Funnelforms is liable without limitation for intent and gross negligence, for injury to life, body or health,
    under the German Product Liability Act and where Funnelforms has given a guarantee.
  2. In the case of slight negligence, Funnelforms is only liable for breach of essential contractual obligations,
    meaning obligations whose fulfilment makes the contract possible in the first place and on which the customer may
    regularly rely, and only for the typical damage foreseeable when the contract was concluded.
  3. For loss of data, Funnelforms is only liable for the effort that would have been needed to restore it had the
    customer made regular backups.
  4. For Funnelforms Free and other free services, Funnelforms is only liable for intent, gross negligence and
    fraudulently concealed defects; clause 1 remains unaffected.
  5. These rules also apply to Funnelforms' employees and agents.

12. Data protection

  1. Funnelforms processes the data in the Funnelforms account as controller. Details are in the privacy notice for
    customers.
  2. The customer processes the data it collects with its forms as controller itself. Where Funnelforms acts on its
    behalf, for example during support access, the DPA applies and forms part of this contract.
  3. Funnelforms uses service providers for the account, support and AI features, including in the USA. The list is in
    the privacy notice for customers.

13. Changes to these Terms

  1. Funnelforms may change these Terms with effect for the future if there is an objective reason, such as a change in
    the law, new features or changed services. Funnelforms announces changes by email at least 30 days in advance.
  2. The customer may object to the change until it takes effect or terminate the contract as of that date. If it
    objects, the previous Terms continue to apply to it; Funnelforms may then terminate the contract with effect from
    the end of the current billing period.
  3. Changes to price, term or the main services only apply with the customer's consent or from a new billing period
    under clause 5.4.

14. Final provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. Place of jurisdiction is Cheyenne, Wyoming, USA. Funnelforms may also sue at the customer's registered office.
  3. The language of the contract is German. A translation is for information only.
  4. If any provision is invalid, the rest of the contract remains valid. The statutory provision replaces the invalid
    provision.
